When is raising money a security? If you raise money from your family & friends or like, co-workers who know you, that’s not a security. When you raise capital from strangers who put money into your Crowdfunding offering, that’s considered a security. Another aspect is when you and your company make all of the business decisions, mitigate risks, change direction, manage the business… and not the shareholders, that is a security.
